NVSBC's Transition to a 501(c)(3)
NVSBC is transitioning its 501(c)(6) entity in its entirety to the NVSBC Education Foundation, a 501(c)(3). The NVSBC Board of Directors unanimously approved this plan, with the goal of strengthening mission delivery, improving sustainability, and expanding funding opportunities, all while maintaining full continuity of staff, programs, and services.
The organization’s mission, public-facing work, programs, events, membership platform, staff, and Board of Directors will remain unchanged. What’s changing is the legal structure behind them: NVSBC members are being asked to vote on transferring all 501(c)(6) assets to the 501(c)(3) entity and dissolving the 501(c)(6).
This shift positions NVSBC to pursue a wider range of grant and partnership opportunities, strengthening existing programming and opening the door to new initiatives. As an NVSBC member, you have the privilege of voting on this important organizational change. Voting commenced on August 10, and will continue through Fall 2026.

NVSBC is transitioning its operations and governance to the NVSBC Education Foundation, a 501(c)(3), which is intended to become the principal operating and public-facing organization.
The transition is intended to strengthen mission delivery, improve sustainability, and expand funding opportunities.
You are voting on two limited items: the transfer of all remaining assets of the 501(c)(6) and the formal dissolution of the 501(c)(6).
Programs, services, staff continuity, and mission delivery are intended to continue through the 501(c)(3) structure.
With vote approval, the transition will take effect January 1, 2027. At that time, all memberships (asset) of the 501(c)(6) shall transfer to the 501(c)(3) and shall thereafter be governed exclusively by the Articles of Incorporation, Bylaws, and policies of the 501(c)(3). The rights, privileges, and benefits of membership shall be those established by the 501(c)(3), which supersede those previously associated with membership in the 501(c)(6).
The bylaws require member approval for dissolution and for the sale or distribution of all or substantially all assets. The broader transition plan also treats membership-rights changes as part of the limited matters reserved for member approval.
Approval requires the affirmative vote of at least two-thirds (66%) of members. As the approval threshold is high, early voting helps the organization measure progress and reduces the risk of missing it. As such, voting will continue through October 30, 2026.
You will receive a secure electronic ballot with instructions. Expect the ballot during the week of August 10, 2026.
NVSBC can complete the final transition steps and proceed with formal disestablishment of the 501(c)(6) consistent with the approved plan.
The organization may need to continue outreach and voting efforts into a later period as contemplated in the transition plan.
